These Terms and Conditions ("Terms") govern the use of our services and platforms, including our website, email communications, and any other interaction you may have with us. By accessing and using our services, you agree to comply with these Terms. If you do not agree with any part of these Terms, you should refrain from using our services immediately.

2. Definitions
In these Terms, unless the context otherwise requires, the following words and expressions have the following meanings:"Client" or "you": Any individual or entity that engages with Forward Point Solutions for services."Service": Any service provided by Forward Point Solutions, including company formation, corporate management, consultancy, compliance support, and third-party service referrals."Platform": The website, email communications, or any other digital or physical communication mediums used by Forward Point Solutions.

3. Scope of Services
3.1 Corporate Services
Forward Point Solutions offers services related to offshore and onshore company formation, banking introductions, compliance consulting, nominee services, administrative support, and legal guidance. We provide consulting services and make introductions to third-party providers, including legal and financial service firms, but we are not directly engaged in banking, payment processing, or the provision of legal or financial advice.3.2 Third-Party Services
Our services may involve the introduction to third-party providers, including banks, financial institutions, payment processors, and licensing entities. All third-party services are subject to their own terms and conditions, and Forward Point Solutions is not liable for any decisions or actions made by these third-party providers. You acknowledge that these third parties are independent entities, and we are not responsible for their performance or actions.3.3 Consultancy Nature
We provide consulting services and support to help our clients make informed decisions; however, the information we provide should not be interpreted as legal, financial, or investment advice. 4. Client Responsibilities
4.1 Accurate Information
You agree to provide accurate, current, and complete information about yourself and your business as requested by Forward Point Solutions during the provision of our services. This includes compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) obligations. Providing false or misleading information may result in the termination of services and legal repercussions.

4.2 Compliance with Laws
It is the responsibility of the client to comply with all relevant laws and regulations in their jurisdiction, including but not limited to tax, employment, and corporate governance laws. Forward Point Solutions will not be liable for any legal breaches committed by the client, and clients should consult their own legal counsel for compliance matters.

4.3 Ongoing Obligations
Certain services, such as company formation, require ongoing management and maintenance, including annual renewals, filings, and compliance obligations. It is the client's responsibility to ensure that all required actions are taken to keep their business entity in good standing. Forward Point Solutions can assist with these tasks, but only if explicitly agreed upon in a written contract.

5. Limitation of Liability
5.1 General Limitation
To the fullest extent permissible by law, Forward Point Solutions excludes all liability for any direct, indirect, incidental, consequential, or punitive damages that may result from the use of our services, the performance of third-party providers, or the use of information provided by us. This includes, but is not limited to, loss of profits, loss of data, business interruption, or any other business-related damages, whether based on warranty, contract, tort, or any other legal theory.

5.2 No Warranties
We provide all services "as is" without any warranties, either express or implied. While we make every effort to ensure the accuracy and reliability of our services, we make no warranties or guarantees regarding the outcomes or suitability of our services for your specific needs.

5.3 Third-Party Liability
Forward Point Solutions is not liable for any errors, omissions, delays, or actions taken by third-party service providers, including but not limited to banks, legal firms, and payment processors. Any contracts or agreements entered into with third parties are entirely at the client's own risk, and clients should perform their own due diligence before engaging with such providers.

6. Refund Policy
6.1 Non-Refundable Services
All fees paid to Forward Point Solutions for services, consultations, or third-party introductions are final and non-refundable. Once a service has been initiated, we do not provide refunds under any circumstances, except in cases explicitly stated in these Terms or required by law.

6.2 Compliance-Based Refunds
If a client cannot be onboarded due to KYC/AML compliance issues or regulatory restrictions, Forward Point Solutions may, at its sole discretion, offer a partial refund. Such refunds are subject to an administrative fee, and any refunds issued will take up to 120 days to process. The client must provide necessary documentation to support any refund request, and the final decision on refunds rests solely with Forward Point Solutions.

7. Fees and Payment Terms
7.1 Pricing
All service fees are listed on our website or provided in writing through email correspondence. The client agrees to pay all fees for services as outlined in the agreement before the commencement of services. All fees are exclusive of VAT and other applicable taxes unless otherwise stated.

7.2 Late Payments
If payments are not made within the agreed-upon timeframe, Forward Point Solutions reserves the right to suspend or terminate the provision of services. Any overdue amounts will accrue interest at a rate of 1.5% per month or the highest rate permitted by law, whichever is lower, until the outstanding amount is paid in full.

8. Termination of Services
8.1 Termination by Forward Point Solutions
Forward Point Solutions reserves the right to terminate any service agreement with immediate effect if:The client fails to comply with these Terms or applicable laws.The client fails to make payments for services as required.Forward Point Solutions determines, in its sole discretion, that the client’s use of services may result in legal liability or harm to Forward Point Solutions or its partners.

8.2 Termination by Client
The client may terminate their service agreement by providing written notice to Forward Point Solutions. The termination will become effective upon receipt of such notice, and no refunds will be provided for any fees already paid. Clients remain responsible for any outstanding payments or obligations up to the effective date of termination.

9. Dispute Resolution and Arbitration
9.1 Arbitration Agreement
All disputes arising out of or relating to these Terms shall be resolved through binding arbitration under the rules of the International Chamber of Commerce (ICC). The arbitration shall take place in London, England, and the decision of the arbitrator shall be final and binding on both parties.

9.2 Legal Costs
Each party will bear its own legal costs and expenses in connection with the arbitration, unless otherwise awarded by the arbitrator.

10. Confidentiality and Data Protection
10.1 Client Confidentiality
Forward Point Solutions acknowledges the importance of confidentiality and agrees to keep all client information secure and confidential, except as required by law or agreed upon by the client. We will not disclose any client information to third parties without the client’s explicit consent unless required for the provision of services.

10.2 Data Protection
Forward Point Solutions complies with all applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you consent to the collection and processing of your personal data in accordance with our Privacy Policy, which is available on our website.

11. Intellectual Property Rights
11.1 Ownership of Intellectual Property
All intellectual property rights, including but not limited to text, images, logos, trademarks, software, and other proprietary materials on our platforms, are owned by FPS Holdings LLC or its licensors. Clients and users are prohibited from copying, modifying, distributing, or otherwise using any of our intellectual property without the prior written consent of FPS Holdings LLC. Unauthorized use of any intellectual property owned by FPS Holdings LLC will be subject to legal action.

12. Force Majeure
Forward Point Solutions will not be liable for any delay or failure to perform its obligations under these Terms due to events beyond our reasonable control, including but not limited to acts of God, war, cyber attacks, breaches of data, civil unrest, pandemics, natural disasters, labor disputes, or disruptions in utilities or services.

13. Amendments and Updates
We reserve the right to amend or update these Terms at any time. Any changes will be posted on our website and will become effective immediately upon posting. Clients are responsible for reviewing these Terms periodically. Continued use of our services following any changes constitutes your acceptance of the updated Terms.

14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Any unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement
These Terms, together with any other agreements or policies referenced herein, constitute the entire agreement between you and Forward Point Solutions and supersede any prior agreements, communications, or representations, whether oral or written.

16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to any conflict-of-law principles.
